Terms of Service

Section 1 — Acceptance of Terms

By accessing wednesdaylabs.co (the “Site”) or placing any order through the Site, you affirmatively represent that you have read, understood, and agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Research Use Disclaimer. If you do not agree to all of these Terms in their entirety, you are expressly prohibited from using this Site.

These Terms constitute a legally binding agreement between you and Wednesday Research LLC, a Florida limited liability company (“Wednesday Research,” “we,” “us,” or “our”). Wednesday Research reserves the right to amend these Terms at any time. Continued use of the Site following any amendment constitutes your acceptance of the revised Terms.

Section 2 — Eligibility & Buyer Qualifications

You may only use this Site and purchase products if you meet ALL of the following criteria:

  • You are at least 21 years of age;
  • You are a qualified researcher, scientist, laboratory professional, academic researcher, or institutional buyer engaged in lawful scientific or laboratory research;
  • You are purchasing products exclusively for in vitro laboratory research, ex vivo studies, or lawful approved animal research models;
  • You are NOT purchasing any product for personal use, human consumption, veterinary use, or any use outside of a controlled research environment;
  • You have the authority and capacity to enter into these Terms;
  • Your purchase and use of these products is lawful in your jurisdiction.

By placing an order, you represent and warrant that all of the above conditions are true and accurate. Wednesday Research reserves the right to cancel any order, refuse service, and request documentation verifying researcher status at any time and without cause.

Section 3 — Research Use Only — Absolute Restriction

ALL products sold by Wednesday Research LLC are strictly and exclusively for LABORATORY RESEARCH USE ONLY. This is not a limitation — it is an absolute legal restriction that is a condition of sale.

Products sold through this Site:

  • ARE NOT intended for human consumption, ingestion, injection, inhalation, or any form of human use whatsoever;
  • ARE NOT medicines, pharmaceuticals, drugs, supplements, nutraceuticals, or food products;
  • ARE NOT intended for veterinary use;
  • ARE NOT approved by the U.S. Food and Drug Administration (FDA) for any human or animal therapeutic use;
  • HAVE NOT been evaluated by the FDA for safety or efficacy in humans or animals;
  • ARE NOT intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.

Buyer assumes ALL legal and physical risk arising from any use of any product outside of a controlled laboratory research setting.

Section 4 — Product Information & Labeling

All products are labeled “For Research Use Only” and “Not For Human Consumption.” Product descriptions and research notes provided on the Site are for informational purposes only to assist qualified researchers and do not constitute medical advice, dosing guidance for human use, or therapeutic recommendations.

Any product documentation provided to qualified researchers is shared privately as part of order review, solely to assist with research planning, and does not imply that any product is suitable for human use.

Section 5 — Prohibited Uses

You expressly agree NOT to:

  • Purchase any product for personal use, human consumption, or any use other than controlled laboratory research;
  • Resell, redistribute, or transfer any product to any individual or entity for human use or personal consumption;
  • Make any therapeutic, health, or medical claims about any product purchased from this Site;
  • Use any product in a manner that violates any applicable federal, state, or local law or regulation;
  • Attempt to circumvent the buyer verification process through false representations;
  • Share any product with any individual who is not a qualified researcher in a controlled research setting.

Section 6 — Right to Refuse Sale & Verify Researcher Status

Wednesday Research LLC reserves the absolute right to refuse any order for any reason, cancel any order prior to shipment, request documentation verifying researcher status or intended research use, limit quantities sold to any buyer, and restrict or terminate site access for any individual who violates these Terms.

Section 7 — Orders, Pricing & Payment

All orders are subject to acceptance by Wednesday Research LLC. We reserve the right to reject any order, correct pricing errors, and limit quantities. Prices are subject to change without notice. Payment must be received and confirmed before any order is fulfilled and shipped. All sales are final unless a product is defective or incorrectly shipped, in which case our Refund Policy applies.

Section 8 — Shipping & Delivery

Products are shipped in compliance with applicable cold-chain and handling requirements. Wednesday Research LLC ships exclusively within the United States. By purchasing, you represent that your receipt and possession of the purchased research compounds is lawful in your jurisdiction. Wednesday Research LLC is not responsible for delays caused by carrier, weather, or circumstances outside our control. Risk of loss passes to the buyer upon delivery to the carrier.

Section 9 — Refunds & Returns

Due to the nature of research-grade chemical compounds, all sales are final. Wednesday Research LLC will accept returns and issue refunds only in cases of (a) a verified product defect, or (b) incorrect product shipped by Wednesday Research LLC. Refund requests must be submitted within 5 business days of delivery with supporting documentation.

Section 10 — Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Section 11 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEDNESDAY RESEARCH LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR ANY PRODUCT PURCHASED THROUGH THE SITE.

IN NO EVENT SHALL WEDNESDAY RESEARCH LLC’S TOTAL AGGREGATE LIABILITY TO ANY BUYER EXCEED THE TOTAL PURCHASE PRICE PAID BY THAT BUYER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

Section 12 — Buyer Indemnification

You agree to defend, indemnify, and hold harmless Wednesday Research LLC, its members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of any product purchased from this Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any representation you made in the buyer verification process that was false or misleading.

Section 13 — Intellectual Property

All content on the Site — including text, graphics, logos, images, product descriptions, research notes, and design elements — is the property of Wednesday Research LLC or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or commercially exploit any content from this Site without express written permission from Wednesday Research LLC.

Section 14 — Dispute Resolution & Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT PURCHASED HEREUNDER SHALL BE RESOLVED EXCLUSIVELY BY BINDING INDIVIDUAL ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), AND NOT IN ANY COURT OR BEFORE ANY JURY.

YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Arbitration shall take place in Hillsborough County, Florida. The arbitrator’s award shall be final and binding.

Section 15 — Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. For any matter not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida.

Section 16 — Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Section 17 — Entire Agreement

These Terms, together with the Privacy Policy and Research Use Disclaimer, constitute the entire agreement between you and Wednesday Research LLC with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.
